Terms of Service for SpendStreet, LLC

Welcome to SpendStreet.com! These Terms of Service govern your use of the SpendStreet website and services provided by SpendStreet, LLC ("Company") through the Site. By accessing or using the Site or subscribing to any of the services (collectively, the "Services"), you agree to comply with these Terms. If you do not agree with these Terms, you must not use the Site or the Services.
The Company reserves the right to update or modify these Terms at any time. Any changes will take effect once posted on the Site. Your continued use of the Site following any modifications to the Terms constitutes your acceptance of the revised Terms.
SpendStreet offers a cloud-based platform designed to streamline procurement processes for multi-family and commercial property owners and managers. Through the Site, we provide tools for managing purchasing, procurement reporting, budget controls, and vendor relationships, specifically for maintenance, repair, and operations (MRO) supplies (the "Products"). These services are available to our Customers and include:
Your subscription to these Services is typically valid for one (1) year from the date of subscription (the "Initial Term"). If not canceled by you or the Company as outlined below, the subscription will automatically renew for successive one-year periods ("Renewal Term").
When subscribing for Services, you will need to provide a list of properties ("Property List") for which the Services will be used. This list should include details such as the property name, number of units, property owner’s information, and contact details. You are responsible for keeping the Property List updated and informing the Company of any changes to ownership, management, or other key property details.
Access to your account is protected by a username and password, which you are responsible for keeping secure. You are liable for all activity associated with your account, whether authorized or unauthorized, and agree to notify the Company immediately if you believe there has been unauthorized access to your account.
The Company offers its Services via subscription fees based on the number of properties under management or units at each property listed. Payments for the Services are made by the property owner to the Company, and you are responsible for ensuring that the property owners comply with payment terms.
Additional purchases of Products through the Site, made by property owners, are handled directly by third-party suppliers ("Suppliers"). The Company serves as a platform for facilitating the transaction, but does not warrant or guarantee any Product’s quality, delivery, or performance. Suppliers establish their own terms and conditions for their Products, and the Company has no liability for any issues arising from transactions with Suppliers.
In the event of delayed payments, the Company reserves the right to impose late fees, suspend Services, or take further actions as necessary to recover outstanding amounts.
You agree to treat all information provided to you by the Company or its affiliates, including but not limited to business operations, pricing strategies, and customer information, as confidential ("Confidential Information"). You must not disclose this information to third parties unless required by law, or unless those receiving the information have a legitimate need to know and are bound by similar confidentiality obligations.
During the subscription period and for 18 months after the termination of the agreement, you agree not to directly or indirectly solicit, hire, or engage any employees or contractors of SpendStreet or disrupt relationships with any customers or suppliers of the Company. This restriction applies to the Customer and their affiliates.
All content on the Site, including but not limited to trademarks, logos, software, and designs, are the exclusive property of SpendStreet, LLC or its licensors. You may not use any of SpendStreet’s intellectual property without express written permission.
The Customer grants SpendStreet the right to use their logos and trademarks in marketing materials, such as case studies, press releases, and on the Site, during the term of the subscription. Upon expiration or termination of the subscription, SpendStreet will cease using these trademarks.
You agree to use the Site solely for lawful purposes and to refrain from actions that might disrupt the Site or hinder other users' access. You may not use automated tools such as data mining or scraping software to interact with the Site.
You may not copy, reproduce, republish, or distribute content from the Site for commercial purposes without obtaining prior written consent from SpendStreet. Accessing the Site via third-party applications or using automated devices to collect data is prohibited.
SpendStreet provides the Site and Services "as is" without any warranties, express or implied. The Company does not guarantee that the Site will be available or free of errors. SpendStreet is not responsible for any indirect, incidental, special, or consequential damages arising from your use of the Site or reliance on the content provided.
In no event will SpendStreet’s total liability exceed the total amount paid by you for Services during the prior twelve-month period.
You agree to indemnify and hold SpendStreet, its employees, affiliates, and partners harmless from any claims, damages, losses, or expenses, including legal fees, arising out of your use of the Site, violation of these Terms, or infringement of any third-party rights.
These Terms of Service are governed by the laws of the state of [Insert State]. Any disputes arising from these Terms shall be resolved through binding arbitration in [Insert City, State] under the rules of the American Arbitration Association.
